Deputy Company Secretary required for the Corporate Secretarial & Governance Services function of this Edinburgh based Financial Services organisation

This is a newly created role as the business continues to expand its global footprint into new jurisdictions. The team is responsible for providing a company secretarial and governance service to the firm’s corporate subsidiary Boards and their members and officers, and to other group governance related committees and cross functional / department projects.

Deputising for the Head of Corporate Secretarial and Governance Services, you will assist in the effective and efficient delivery of company secretarial-related services, the interpretation and implementation of the impact of changes in legislation and regulation and providing support in team management, projects and other areas as required.

Responsibilities:

  • Deputising for the Head of Corporate Secretarial and Governance Services including assisting with delivery of department’s business plan.
  • Providing Board support and oversight of specific entities (including all UK) and other subsidiaries and business groups within the group of companies.
  • Responsibility for oversight and development of Radar reporting and impact analysis.
  • Responsibility for oversight and development of Governance Documentation team and associated documentation, processes and reporting
  • Assisting with oversight, reviewing and developing of team processes, systems controls, risk management, reporting, staff training and disaster recovery.
  • Assisting in the development and promotion of global corporate governance as the business continues to expand its geographical footprint into new jurisdictions.
  • Liaising with external advisors, authorities and stakeholders (internal and external).
  • Line management responsibility with a focus on developing the team.
    Accountability for project work.

You will be an experienced company secretary with a professional qualification in Legal, Accounting or Company Secretarial. You will preferably have experience within the financial services sector, however applications are also welcome from those who have large corporate experience within other private sectors.  The role requires someone who has a passion for governance and thrives in a dynamic rigorous environment.  Whilst he role is senior, you will still have a hands-on approach and would suits someone who is a ‘completer-finisher’.  Excellent written and verbal communication skills are imperative, including the ability to communicate effectively with staff at all levels.
